Consultant Agreement

This agreement applies to every independent consultant or consulting firm offering services through Consulty.

Independent status

The consultant is an independent contractor responsible for licences, taxes, insurance, tools, and personnel. No employment, partnership, agency, or joint venture is created.

Profile and service standards

The consultant warrants that identity, credentials, portfolio, pricing, and claims are accurate and agrees to verification. Services must be delivered professionally, lawfully, on time, and with conflicts disclosed.

Fees and payouts

The consultant authorizes Consulty to collect client funds and deduct commission, processor fees, refunds, disputes, and authorized adjustments before payout. Transfers may be delayed for compliance, fraud, or dispute review.

Non-circumvention

The consultant must not request or accept off-platform payment or share external contact details to bypass Consulty for any client introduced through the platform, during the relationship and for 24 months afterward. Breach may result in suspension and recovery of avoided commission, costs, actual loss, and available legal remedies.

Confidentiality and data

Client information may be used only to perform the engagement. Consultants must follow deletion, security, and data protection duties and must not upload confidential data to AI systems or third parties without appropriate authority.

IP, indemnity, and termination

The consultant warrants deliverables do not infringe third-party rights and indemnifies Consulty, to the extent permitted by law, for claims caused by breach, professional negligence, unlawful conduct, or IP, privacy, and confidentiality violations. Key payment, confidentiality, IP, indemnity, and dispute provisions survive termination.
